Diboll, Texas
Gentlemen:
This letter will confirm our agreement reached in Dallas, Texas, on 1•he
24th day of July, 1969.
The City of Weat Memphis, Arkansas has been negotiating with Temple
Industries (herein called "Temple") relative to the location of a manu-
facturing plant at Weat Memphis, Arkansas to be operated for the manufac-
ture of gypsum wallboard. For the pu~poae of this agreement, Temple
Industries will be defined ae Temple Industries, Inc.; Texas Gypsum Company,
Inc.; or a wholly-owned aubaidlary of either Temple Industries, Inc., or
Texas Gypsum Company, Inc. All lease obligatlona.will be guaranteed by ,
Temple Industries, Inc. We understand that the estimated coat of the ~~'
land, manufacturing building, improvements and facilities and related
expenses and the expense of financing will be approximately $4,750,000. i
It is proposed that the cost of the facility will be financed by the City.
of West Memphis, Arkansas issuing Industrial Development Revenue Bonds
under the provisicna of Act No. 9 of the First Extraordinary Session of
the Sixty-Second General Assembly of the State of Arkansas, approved
January 21, 1960, ae amended by Act No. 48 of the Acta of Arkansas of
1961 (herein called "Act No. 9 Bonds").
We understand that it is essential for "Temple" to have a firm financia l
commiEment and in furtherance thereof "Temple" Hae egrLed-'and does hereby
agree with Rauscher Pierce 6 Co., Inc., Burnfisni and Cdlnpany, Stephens,
Inc., and T. J: Raney and Sons (herein called "The Underwriters"), as
follows:
I.
"The $nder'writera" agree to purchase $4,000,000.00 of a series of obliga-
tions not to exceed $4,750,000 of the City of West-Memphis, Arkansas bonds
at a price of par plus accrued interest, dated at a date mutually agreed
on, maturing and bearing interest as shown on a,echedule attached.. It ie
further understood and agreed this agreement may be terminated by "The
Underwriters" or "Temple" upon written notice if there shall have been any
important changes in economic conditions or market levels, substantial
changes in the condition of buelness prospects of "Temple", or other signi-
ficant event or occurence, which, in the judgement of "The Underwriters"
or "Temple" shall make it'impracticable or inadvisable to proceed with the
contemplated bond iea4e.
The bonds will be noncallable for the first 15 years except from the pro-
ceeds of condemnation, and proceedi received as a result of an exercise
of an option to purchase by "Temple" during said 15 year period, as a
result of condemnation, damage end destruction, or any other reason, for
whits. an option to purchase may be exErcised by "Temple" during said 15
year period under the provisions of the Lease Agreement hereafter refer-
red to. If called during said 15 year period, the bonds will be callable
in inverse numerical order at a price of the principal amount of the bonds
being called,-plus accrued interest to the redemption date, plus a premium
of 3~5. The bonds will be callable for payment prior to maturity on and
after fifteen yearn from funds from any source in ~.nverse numerical order
at a price of the principal amount of the bonds being called, plus accrued
interest to the redemption date, plus a premium of 27..
In addition, the Internal Revenue Service has ruled that issues of this
type, issued after January 1, 1969, cannot have a total project cost
exceeding S5,000,000, and in the event that such cost, regardless of ,the
source of funds, exceeds that figure, Industrial Revenue Bonds issued
in connection with the project will be declared taxable. This ruling
applies to expenditures for a particular project extending throe ye#rs
past, and three years into the future. Since the total project cost is
completely within the control of "Temple", an additional call feature.
will be inserted in this issue of bonds. This call feature will provide
that "Temple" shall be required to call the bonds within one year after
a determination by the Internal Revenue Service that this issue of bonds
ie taxable by virtue of excess project cost.. In order to compensate the
bond holder for lose of income as a result of such a ruling, "Temple"
~?
wi~l agree to call theae;bonda at par, plus accrued interest to the
redemption date L plus a premium of 15X. -
II.
The City of West Memphis, Arkaneta will enter into a Lease and Agreement
with "Temple" pursuant-to which the City will acquire and construct the
industrial project and lease the same to "Temple". The Lease and Agree-
ment will be a net lease in the form generally utilized in Arkansas in
connection with similar financing. It is understood, however, that
"Temple" as Lessee, will be obligated to pay a basic annual iental suff-
icient to pay the principal of, and interest on, the."Act No 9 Bonds"
as the same become due and payable, will pay the Paying AgenE's fees and
the Trustee's annual administration charge, will maintain the leased
premises, and will pay premiums on, and w111 maintain in full force and
effect, the usual insurance coverage. The Lease and Agreement will
contain such renewal options and purchase options ae shall be requested
by "Temple". The. lease obligation between the City of West Memphis,
Arkansas, and "Temple"will be subject to approval by both."Temple" and
"The Underwriters". If, for any eason, either of these two parties
do not approve of the lease obligation, then .this Underwriting Agreement
will be void, and neither party will have any liability to the other.
III.
"The Underwriters" agree to cooperate with Smith; Williams, Friday
and Bowen, Bond Counsel, Little Rock, Arkansas, upon whose approving
opinion the "Act No. 9 Bonds" will be issued, in the preparation end
handling of ell necessary ordinances, election notices and legal`.
instruments involved in the issuance of .the bonds and the security for
their payment. In thin regard, it is understood end agreed that the
terms and provisions of all documents and instruments, Including
without limitation, the Lease and Agreement and the Trust Iddenture
securing the bonds are to be subject to the approval ofr"the" Underwriters';
"Temple", and the City of West Memphis, Arkansas.
IV.
The expenses of ,.the i~} sue, including the Trustee'6 authenticating fee,
all expenses incidentdl to the registration of the .securities with
the Securities and Exchange Coamiseion, qualification of the bonds
Eor offering and sale~tfy "The Underwriters", the printing coat of the
bonds and the attorneya'.,fee ere to be paid out of the proceeds of the
"Act No. 9 Bonds".
V.
"Temple" agrees to allow "The Underwriters" to name the Trustee and
Paying Agent banks on this issue and will further allow "The Underwriters"
to place the construction money during the entire period of construe-
tion in Certificates of Deposits in a bank, or banks, of their choice,
at the maximum allowable rates of interest for the meturitiea involved
payable under Regulation Q governing ouch benke at the date bf issuance
or the "Act No. 9 Bonds'+.
~~ VI.
"Temple" agrees to pay The Underwriters" a fee of 3X of the principal
amount of bonds issued fob services rendered~in connection with this
underwriting. ~ b 'T~c. U1+~t~W•?ars
~ VII.
"Temple" will fullq cooperate with the end in view of the bonds being
issued and delivered as soon as necessary legal steps preliminary to
their authorization and issuance can be reasonably ,.taken, with .bonds
being issued and delivered within 120 days from the data of this contract,
or thereafter at "The Underwriters "' option for 120 days.
IE the agreement set forth herein is acceptable, please execute in the
apace on the following page. By executing the acceptance, it is
understood that "Temple" is recommending to the City Council of the
City of Weet Memphis, Arkansas that said Council enter into the necesa-
ery bond dale contract with "The fTnderwriteie" embodying the terms and
provisions of this agreement.
