A RESOLUTION OF THE WEST MEMPHIS, ARKANSAS CITY COUNCIL
RATIFYING THE FILING OF A CONFORMED INDEPENDENCE STEAM ELECTRIC
STATION OPERATING AGREEMENT WITH ENTERGY ARKANSAS, INC., AND
OTHER CO-OWNERS OF THE INDEPENDENCE STEAM ELECTRIC STATION AS
REQUIRED BY FERC ORDER 614, AND FOR OTHER PURPOSES
WHEREAS, the Feral Entergy Regulatory Commission (FERC) in its Order 615 dated
March 31, 2000, required all jurisdictional electric utilities and customers to provide it with
consolidated versions of all agreements now in effect as they required amendment; and,
WHEREAS, a recent settlement pertaining to coal transportation issues has required an
amendment to the Independence Steam Electric Station Operating Agreement (ISES Operating
Agreement); and,
WHEREAS, the ISES Operating Agreement between the City of West Memphis, Entergy
Arkansas, Inc., and other co-owners to the Independence Steam Electric Station commenced in
1979 and includes several amendments thereto, including the current amendment, thus requiring a
FERC Order 615 filing; and,
WHEREAS, attached to this Resolution as Exhibit A is a Conformed ISES Operating
Agreement, which includes all applicable provisions of currently effective provisions of the ISES
Operating Agreement according to management and counsel.
NOW, THEREFORE, BE IT RESOLVED THE CITY COUNCIL OF THE CITY OF
WEST MEMPHIS, ARKANSAS, THAT:
Section 1: The attached agreement incorporating the requirements of FERC Order 614
between Entergy Arkansas, Inc., the City of West Memphis and others is ratified by the City
Council of the City of West Memphis, Arkansas. The Mayor and City Clerk are authorized to
accept recommendations by counsel as to non-substantive and typographical changes as maybe
necessary, and to otherwise execute the Conformed ISES Operating Agreement for the City of
West Memphis, Arkansas.
SECTION 2: This resolution shall be in full force and effect from and after its passage and
approval.
