A RESOLUTION TO APPROVE THE SALE OF CERTAIN REAL
PROPERTY TO RIVERBEND WAREHOUSE, LLC, AND
AUTHORIZING THE MAYOR AND CITY CLERK TO EXECUTE THE
QUITCLAIM DEED ON BEHALF OF THE CITY OF WEST MEMPHIS.
WHEREAS, Riverbend Warehouse, LLC, has presented the City of West Memphis an
offer to purchase the fee simple title to certain described real property for $10.00; and
WHEREAS, A.C.A. 14-54-302 authorizes municipal corporations to sell real estate and
provides that all contracts and conveyances shall be performed by the mayor and city clerk when
authorized by a resolution, in writing, approved by a majority vote of the city council present and
participating; and
WHEREAS, the City Council finds that the proposed offer to purchase the below
described real property tiom the City of West Memphis is in the best interests of the City of West
Memphis and should be approved and the mayor and City Clerk should be authorized to execute
the Quitclaim Deed on behalf of the City of West Memphis;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WEST MEMPHIS, ARKANSAS, THAT:
SECTION 1. The offer of Riverbend Warehouse, LLC, to purchase from the City of
West Memphis the following described real property-
3.41 acres lying in the E 1 /2 SW 1 /4 of Section 24, T-6-N, R-8-E, Crittenden
County, Arkansas, and being more particularly described as follows:
Commencing at the center of said Section 24, thence SO 1 ° 19'23 "W along the East line of
the SW 1 /4 of said Section 24, a distance of 96.44 feet to the point of beginning; thence
continue SO1°19'23"W along the East line of the SWl/4 of said Section 24 a distance of
115.95 feet; thence S60°55'00"W a distance of 1427.98 feet; thence S89°35'00"W a
distance of 57.2 ~ feet to a point on the West line of the E 1/2 SW 1/4 of said Section 24;
thence North along the West line of the E 1 /2 SW I/4 of said Section 24 a distance of 83.01
feet, thence N60°55'00"E a distance of 1496.52 feet to the point of beginning.
for the purchase price of $10.00 is hereby approved.
SECTION 2. The mayor and the city clerk are hereby authorized to execute the
Quitclaim Deed on behalf of the City of West Memphis to convey the above described real
property to Riverbend Warehouse, LLC.

QUITCLAIM DEED
KNOW ALL MEN BY THESE PRESENTS:
THAT the City of West Memphis, Arkansas, an Arkansas municipal corporation, (the
`'Grantor") by its Mayor and City Clerk, duly authorized hereby by lawful resolution of the West
Memphis City Council, for and in consideration of the sum of Ten Dollars ($10.00) and other food
and valuable consideration, paid by Riverbend Warehouse, LLC, a
limited liability
company, (the "Grantee") the receipt and sufficiency of which are hereby acknowledged, does hereby
grant, convey and quitclaim unto the said Grantee and its successors and assigns forever, all of its
right, title, interest, equity and estate in and to the following described lands situated in the County of
Crittenden, State of Arkansas:
