A RESOLUTION AUTHORIZING THE ACCEPTANCE OF A NO
WARRANTY DEED FOR THE PURCHASE OF 10.99 ACRES OF
PROPERTY FROM ENTERGY ARKANSAS, INC. BY THE CITY OF
WEST MEMPHIS AND AUTHORIZING THE MAYOR AND CITY
CLERK TO ACCEPT SUCH DEED AND FOR OTHER PURPOSES.
WHEREAS, pursuant to A.C.A. 14-54-302, municipal corporations are authorized to
buy real property with the execution of all such contracts to be performed by the Mayor and City
Clerk when authorized by a resolution in writing and approved by a majority vote of the city
council; and
WHEREAS, the City of West Memphis and Entergy Arkansas, Inc., have negotiated a
contract for the City of West Memphis to purchase l 0.99 acres of real property from Entergy
Arkansas, Inc., and such contract was approved by Ordinance 1877; and
WHEREAS, the contract calls for the transfer of the property by a no warranty deed in a
form substantially as attached hereto as Exhibit "A"; and
WHEREAS, no warranty deed should be approved and the Mayor and City Clerk should
be authorized to accept such deed on behalf of the City of West Memphis and, upon acceptance,
payment should be authorized;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WEST MEMPHIS, ARKANSAS, THAT:
SECTION 1. The no warranty deed in a form substantially as attached hereto as Exhibit
"A" is hereby approved and the Mayor and City Clerk are hereby authorized to accept such deed
on behalf of the City of West Memphis.
SECTION 2. Payment of the purchase price for such real property as set out in the
contract is hereby authorized upon acceptance of the deed.

SECTION 3. The Mayor and City Clerk are hereby authorized and directed to perform
any and all acts on behalf of the City of West Memphis as may be necessary or required to
accomplish the acquisition of such real property.
