AN ORDINANCE TO WAIVE COMPETITIVE BIDDING FOR ECONOMIC
DEVELOPMENT SERVICES, APPROVING A CONTRACT BETWEEN THE
CITY OF WEST MEMPHIS AND.THE WEST MEMPHIS CHAMBER OF
COMMERCE,AND FOR OTHER PURPOSES:

' WHEREAS, Arkansas`Code Annotated Section 14-58-303 allows waiving of
competitive bidding in exceptional situations where such:procedure is deemed not feasible or
practical; and ..
WHEREAS,there are many items necessary for the City's use where competitive
bidding is deemed not feasible or practical; and
WHEREAS,the West Memphis Chamber of Commerce and the City of West Memphis
have proposed an agreement whereby the.Chamber-of Commerce agrees to provide economic
development services for:the City and the City agrees_to provide funding for said services; and
l WHEREAS, it is hereby found and determined that it would not be feasible or practical
to conduct competitive bidding for such services;
NOW,THEREFORE,BE IT ORDAINED BY THE CITY COUNCIL OF THE
CITY OF WEST:MEMPHIS,ARKANSAS:.
1. Competitive bidding be waived for the.employment of the West Memphis Chamber
of Commerce to provide economic development services to the City of West Memphis in the
sum of$20,000:00. Competitive bidding is being waived for the reason that competitive
bidding of these services would not be feasible or practical and the West Memphis Chamber of
Commerce has unique knowledge and experience in providing such services for the City of West
Memphis. .
2. The 2022 Agreement between the City of West Memphis and the West Memphis
Chamber of Commerce, for economic development services is hereby approved, and the Mayor

:.-AGREEMENT
This Agreement is entered into the day of January;2022, between the City of West
Memphis,Arkansas, and the West:Memphis Chamber of Commerce;
WITNESSETH:
In consideration of the covenants and agreements set out herein,the parties hereby agree
as follows:
1.. The West:Memphis Chamber.of Commerce shall provide to the Office:of
Economic Development of the.City of West Memphis, Arkansas,the following services
connected-with economic development:
a. Serve as a point of contact to all walk-in and call-in inquiries. Refer all inquiries
to the Office of Economic Development of the City of West Memphis and provide basic
statistical information pertaining to the City of West Memphis. Office of Economic
Development approval shall be required concerning the packet used to respond to inquiries. The
West Memphis Chamber of Commerce shall prepare and submit to the Office of Economic
Development monthly reports which shall be due the second week of the following month and
which shall include:
i. A summary of inquiries on a form provided by the Office of Economic
Development;
ii. Copies of inquiries if by mail and log sheets if by telephone on a form provided
by the Office of Economic Development;
iii. Updated information packet used for response. -
b. Assist in the development of promotional material for the City of West Memphis.
c... Along with the Office of Economic Development participate in the:planning,
development and implementation of special events pertaining to existing business and industry.
Participate and assist with the Manufacturers Association.
d. Assist the Office of Economic Development with providing information,
accommodations and services to visiting prospects.
e. Submit quarterly reports to the Office of Economic Development concerning
activity related to economic development by the West Memphis Chamber of Commerce along
with a quarterly invoice.
f. Serve as a point of contact to handle screening and employment opportunities for
new business and industry locating in the City of West Memphis.
2. The Office of Economic Development shall have access to the Chamber of
Commerce's meeting facilities. - Advance notice shall be provided to assure availability.
3. The Mayor of the City of West Memphis shall serve as an ex officio.member of
the Chamber's Board of Directors:
J 4. In consideration of the above services to be provided by the West Memphis
Chamber of.Commerce,the City of West Memphis,Arkansas,through the Office of Economic
Development, agrees to provide funding to the West Memphis Chamber.of Commerce in the -
amount of$20,000.00.. These:funds shall be payable at the rate of$5,000.00 per quarter.
5.. This Agreement shall be in effect from:the.date of its approval through:December
31,2022. '. :. -
