AN ORDINANCE ADOPTING CERTAIN RULES AND REGULATIONS CONCERNING EXTERNAL NOISE ATTENUATION OF DATA CENTERS AND TO PREVENT NOISE DISTURBANCE IN THE CITY OF WEST MEMPHIS;TO DECLARE AN EMERGENCY AND FOR OTHER PURPOSES Mayor McClendon gave a brief explanation of the ordinance. This ordinance refers to facilities that construct and operate and are engage in storage, management, processing, and transmission of digital data, including facilities used for cryptocurrency mining, which houses networked computer along with supporting equipment such as batteries,back-up power generators,HVAC,and cooling systems. City Attorney Stephenson read the ordinance by title only for the FIRST time. Discussion followed: Councilor Mohammed asked if this would address the current issues with noise pollution that the city is already encountering and if not, she would like to concentrate on creating an ordinance that would deal with the city's current noise problems.Councilor Catt said that this ordinance would allow them to put regulations in place for new business for the quality of construction and to serve the public interest by the prevention of unreasonable noise emanating externally from Data Centers for the purpose of preserving and protecting the public health, safety, welfare, and property of the citizens of West Memphis. City Attorney Stephenson said Legislation recently passed a law that will limit the ability of municipalities or counties to impose restrictions on noise problems. The Municipal League has suggested that they adopt an ordinance that gives the city the ability to regulate it,as opposed to not being able to regulate it. Councilor Catt said it would be a check and balance and any new business would have to be compliant. The ordinance will be placed back on the August 17,2023,agenda for its second reading. AN ORDINANCE AMENDING THE FLOOD DAMAGE PREVENTIVE CODE FOR THE CITY OF WEST MEMPHIS;TO DECLARE AN EMERGENCY AND FOR OTHER PURPOSES City Attorney Stephenson read the ordinance by title only for the FIRST time. Councilor Croom made the motion, seconded by Councilor Hutchinson to adopt the Emergency Clause in Section 2. Upon voice vote, voting was unanimous to approve. PERMISSION REQUEST: PERMISSION TO ACCEPT THE LOW BIDDER,MAX FOOTE CONSTRUCTION COMPANY FOR$43,123,000 AND REFER TO THE UTILITY COMPANY FOR THE WASTEWATER TREATMENT PLANT UPGRADE Councilor Croom asked for Utility Manager,Ward Wimbish to give council an update on the sewage pump installation.Mr.Wimbish said pump station# 3 by Walmart and pump station # 4 by Lehr down to the sewage treatment plant pipes are all done, they have ordered the equipment and are just waiting for it to be delivered. They are expecting the equipment for pump station#3 to be delivered next month.Mr.Wimbish said that everything needs to be installed in sequence order, but all the other work is done they are just waiting to commission the two pump stations,he estimates that they will be operational before the next rainy season. Councilor Croom asked about the plans to repair the street by Lehr arena.Mr.Wimbish said that they will be bringing in a crew to do the repairs if they have not already begun the repair. Councilor Mohammed asked if this only included the wastewater treatment plant or did it also include the other areas where they were laying pipes in the neighborhoods. Mr.Wimbish said it did not.Mr. Wimbish said they have two other point repairs to complete and then they be in compliance with the consent order. There being no further discussion.Upon voice vote, voting was unanimous to accept the low bidder Max Foote Construction company for $43,123.00. PERMISSION TO ADD THE LEASE PURCHASE AGREEMENT FOR A 2023 FREIGHTLINER M2 106 29 YD. NEW WAY SIDE WINDER TO THE AGENDA. Councilor Croom made the motion, seconded by Councilor Mohammed to add the lease purchase agreement for the 2023 Freightliner M2 106 29 yd.New Way Side Winder to the agenda.Upon voice vote, voting was unanimous. MAYOR MCCLENDON ASKED PERMISSION TO ADD THE PROPOSAL FROM CADENCE BANK TO PROVIDE LEASE PURCHASE FINANCING FOR THE EQUIPMENT BASED ON THE TERMS AND CONDITIONS PRESENTED. Counselor Catt said it was his understanding as previously discussed in pre-council that this was to be a pure lease, however the second page states lease purchase shall be designated,he asked if it was a pure lease.Councilor Catt deferred to Finance Director,Tori Perry for clarification.Ms.Perry said because it has the potential to be a lease agreement it has to have that verbiage, but after 24 months,if they do not want the vehicle, they could just give it back. Councilor Catt wanted to know if they were approving a true lease or purchase agreement. Councilor.Mohammed asked if it was a lease with the option to buy.Councilor Catt said they will need to prepare the 2025 budget to know what is forth coming and for the council to be aware that they are purchasing the vehicle for$221,000.Ms.Perry said in the budget there is an administrative cost in the event that they have to do that.City Attorney Stephenson said he preferred it to be a lease with the option to purchase at a later time, because they might be required to bid it out at the lowest bid if it is purchased,he said a lease is different from a purchase. His preference is that it be a lease with an option to purchase at a later time.Ms.Perry said the people that they are getting it from are on the State bid list. City Attorney Stephenson said that would make a difference. Councilor Catt said he is asking council if they are going ahead and giving them permission to do a lease or do they want them to bring it back before council for council's approval.Mayor McClendon said if they decided after two years to keep the vehicle,he would bring it back before the council for their approval. There being no further discussion.Councilor Catt made the motion, seconded by Councilor Croom to approve. Discussion continued;Councilor Croom asked who would be responsible for the maintenance. The mayor had Maintenance Supervisor Shawn Rhyne to provide an explanation to council.Mr. Rhyne said normal wear and tear would be repaired by the city shop, anything major the dealer would fix it. He also said the difference in leasing is that if something major happens and they are not able to fix it on sight they would give the city a loaner vehicle at no cost until the vehicle was repaired.Councilor Holt asked if they had someone on staff that was able to work on the hydraulics and why they were having to send them to Memphis to be repaired so often. Mr. Rhyne said he is qualified, and they have the equipment to work on hydraulics, the problem is they cannot get anyone to restock it or fill it for them because it is not their machine. They would prefer that you purchase their machines and buy their fittings. The company for the machine they have at the shop is no longer in business. They are having to go elsewhere to get a line made that costs$100 or more that they could make for$40.00 if they could get the materials to make it with. Also,a lot of the wear and tear items on the older trucks are obsolete and they cannot get them anymore,so they are having to make things work or send it out to have something made to make it work,it can cost anywhere from$40,000 to$50,000 dollars once you change out multiple parts. Mr.Rhyne said the one arm loader that is down now has been sent back to the dealer several times to be repaired because they put the wrong part in it. There being no further discussion:Upon voice vote, voting was unanimous to give the mayor permission to sign the proposal from Candence Bank for the lease purchase financing.
