AN ORDINANCE . ESTABLISHING OBLIGATIONS OF PUBLIC
UTILITIES TO INSTALL AND MAINTAIN FACILITES WITHIN THE
CITY; IMPOSING FEES ON THE GROSS REVENUE COLLECTED BY
PUBLIC UTILITIES FOR SERVICES PROVIDED WITHIN THE
MUNICIPAL BOUNDARIES OF THE CITY; ESTABLISHING THE
METHOD OF PAYMENT OF FEES;MANDATING COMPLIANCE WITH
GENERALLY APPLICABLE.RULES; EXEMPTING WEST MEMPHIS
UTILITIES ON SERVICES;AND FOR OTHER PURPOSES.
WHEREAS, under state law codified at Ark. Code Ann. § 14-200-101, et seq. and the
common law of Arkansas, including without limitation the rule found in Arkansas Railroad
Commission v. Castetter, 180 Ark. 770.(1930) (collectively, "Applicable Law"),the City of West
Memphis,Arkansas ("City")is authorized to: (1) determine the terms and conditions upon which
a public utility may be permitted to occupy the streets,highways,or other public places within the
City, and(2) establish a reasonable franchise fee; and
WHEREAS, the City acknowledges that certain service standards and/or generally
applicable rates of public utilities are governed by the Arkansas legislature and agencies of the
State of Arkansas(including,without limitation,the Arkansas Public Service Commission)which •
preempt the regulatory authority of the City, while standards of construction and maintenance of
facilities,management of rights-of-way, and applicable fees are governed locally; and
WHEREAS, the City further acknowledges that its municipal utility, West Memphis
Utilities, functions as an agency of the City as determined in Cosgrove v. City. of West Memphis, ;-
327 Ark. 324(Ark. 1997)and, as such,its actions are fully governed by a locally'appointed board •
and.regulated by the.West Memphis City Council, such that regulation by this ordinance is
superfluous; and .
WHEREAS, the City is authorized by Applicable Law to establish the terms and
conditions under which public utilities and communication providers may occupy public places
and property, consistent with Applicable Law; and .
WHEREAS, the City is authorized by Applicable Law to impose reasonable fees,
including franchise fees, on the gross revenue collected by public utilities and communication
providers from the provision of service in the City. .
NOW,THEREFORE,BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
OF WEST MEMPHIS,ARKANSAS,THAT: .
SECTION 1. APPLICABILITY:
A. Except as provided in subsections (B) and (C) below,this ordinance shall fully apply
to every public utility that provides services within the municipal boundary of the City
of West Memphis,Arkansas. For purposes of this ordinance,the term"public utility" .

shall mean any electric, gas, sewer, water, or telephone company or utility, and any
company or utility providing smular services, except'a company"excluded:from the
definition of"public utility"under Ark Code Ann §23:1 1Q1(9M(B)(u),
B. This ordinance shall not be implemented in a manner that conflicts with any franchise
agreement previously granted by the City to a public utility.
C. This ordinance shall not apply to any utility owned by the City, including without
limitation the utility governed by the West Memphis Utility Commission.
SECTION 2. COMPLIANCE WITH LOCAL ORDINANCE: Public utilities shall
comply with City all ordinances that govern the construction, development, maintenance,
relocation,use, and removal of structures upon land in the City. Public utilities shall also comply
with City ordinances that regulate specific construction activities including without limitation,
street barricades,excavation,and demolition. Public utilities shall obtain permits to perform work
in the City in the same manner and at the same cost as entities that are not public utilities. To the
extent that any requirement within a City ordinance-is in irreparable conflict with a federal law,
state law, or franchise agreement, the federal law, state law, or franchise agreement will prevail,
but only to the extent of the conflict.

SECTION 3. FEES IMPOSEDJ:
A. Franchise fees. Each public utility shall pay to the City an amount equal to four and one
quarter percent (4.25%) of the gross revenue collected by the public utility from the
provision of services within the municipal boundary of the City unless: (1)a higher rate or
franchise fee is approved by the City's voters,or(2)a different amount is agreed to between
the city and the public utility("franchise fee"). For utilities or companies that only provide
telephone service,franchise fees shall be based on revenues from basic local service only.
This ordinance shall not be interpreted to limit the authority of a public utility to collect
from its customers an amount that equals the franchise fee assessed.
B. Payment.Except as may be agreed between a public utility and the City,each public utility
shall tender payment of franchise fees assessed under this Ordinance on a quarterly basis.
On the forty-fifth(45th) day after the close of each calendar quarter during which services
were-provided franchisees shall tender the appropriate payment to the City Clerk with a
report of gross revenues from the City and such additional information as may be required
to demonstrate compliance with this Ordinance.Late payments shall be accompanied with
interest calculated at ten percent (10%) per annum, or the maximum amount allowed by
law.
SECTION 4. INTERFERENCE PROHIBITED: No public utility shall interfere with
the use of public streets or rights-of-way for traffic or the furnishing of services by other utility or
communication providers, except for such temporary interferences that may be permitted by the
City. Public utilities shall strictly comply with the Arkansas Underground Facilities Damage
Prevention Act(Ark. Code Ann. § 14-271-101, et seq.),national standards for the construction of
electric and communication facilities (including the National Electric Code and National Electric
Safety Code), ordinances of general applicability, appearance standards established under the

Historic Districts Act(Ark. Code Ann. § 14-172-201, et seq.), and appearance standards lawfully
established by public or private right. .
SECTION 5. LOCATION,MAINTENANCE,AND RELOCATION: Public utilities
may install, construct,maintain, and remove lines and facilities across and along City streets and
rights-of-way as provided by law. Public utilities shall relocate lines and facilities across and along
City streets and rights-of-way at the sole expense of the public utility when the relocation is-
required by the public purposes of the City, such as road widening.
SECTION 6. RESTORATION OF PROPERTY, DAMAGES: Public utilities shall
promptly repair or fairly compensate property owners for damage to property or harm to persons
caused by the public utility,contractors on behalf of the public utility, or both,within the City.
SECTION 7. MAINTENANCE: Public utilities shall maintain their lines and facilities
in a commercially reasonable manner. Public utilities shall promptly remove or repair any of their
lines or facilities that are defective or unused for over one year; provided that, underground
infrastructure may be abandoned in place when the City determines that the burden of removal
outweighs the benefit of removal.
SECTION 8. AUDIT: Public utilities shall maintain records for a period of three (3)
years after each franchise fee payment is due. Upon reasonable advance written notice,the City
may audit a public utility's records no more than once per calendar year in accordance with Ark.
Code Ann. § 14-200-110.
SECTION 9.LIAISON: Each public utility shall identify one or more employees of the
public utility to serve as a liaison to responsively communicate with the City regarding any issues
that may arise in the City. The public utility will provide the name,title,phone number,and email
address of such liaisons to the City Clerk and ensure that such information is current at all times.
SECTION S 10. VIOLATIONS: Failure of a-public utility to comply with the.
requirements of this ordinance shall not be deemed a violation unless and until thirty (30) days
have elapsed since the City provided written notice of the compliance failure to the public utility
and the public utility has failed or refused to correct the same,in which case the public utility shall
be subject to the penalties described in Ark. Code Ann. § 14-200-102. The City Attorney is
authorized to file complaints or other legal actions in such forums as may be deemed necessary or
advisable to enforce the provisions of this ordinance.
SECTION 11. BOUNDARY MODIFICATIONS: The City Clerk shall notify public
utilities of any change to the City's municipal boundary. Public utilities shall apply this ordinance
to all newly acquired areas no later than ninety(90)days after such notification is made.
SECTION 12. SEVERABILITY: That the provisions of this ordinance are hereby
declared to be severable, and if any section,phrase or provision shall be declared or.held invalid,
such invalidity shall not affect the remainder of the'sections,phrases or provisions.

SECTION 13.•CONFLICTS REPEALED: All ordinances,resolutions or orders of the
City Council in irreparable conflict herewith are repealed to the extent of the co ict;provided
that, any franchise agreement executed by the City that has not lapsed prior to th effective date
of this ordinance shall not be repealed and shall continue in force and effect.
SECTION 14. EFFECTIVE DATE: The City Clerk, in consultation with the City
Attorney, is directed to identify all entities subject to this ordinance and to notify them of its
adoption. Such notice shall include a copy of this ordinance and a map,of the City. The effective .
date of this ordinance as to any public utility currently providing service in the City shall be ninety
(90) days after such notice is made. The effective date of this Ordinance as to any prospective
public utility that does not yet provide service in the City shall be s' (60)days after approval.
