A RESOLUTION FOR THE ADOPTION OF A CAFETERIA PLAN PURSUANT TO
SECTION 125 OF THE INTERNAL REVENUE CODE.

WHEREAS, the City Council of the City of West Memphis wishes
to adopt a Cafeteria Plan within the context of Section 125 of the
Internal Revenue Code for the benefit'of the Employer's eligible
employees; and
WHEREAS, the Insurance Committee has reviewed and recommended
the adoption of the Flexible Benefits Plan consisting of the
Flexible Benefits Plan Document, the Adoption Agreement, and
component Benefit Plans and Policies as provided by American Family
Life Assurance Company of Columbus (AFLAC);
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF WEST MEMPHIS, ARKANSAS, THAT the City Council hereby adopts the
City of West Memphis Flexible Benefits Plan, consisting of the
Flexible Benefits Plan Document, the Adoption Agreement, and
component Benefit Plans and Policies, effective as of the date
specified in the Adoption Agreement.
BE IT RESOLVED FURTHER, that the Mayor of the City of West
Memphis, Arkansas, is hereby authorized, without further City
Council approval, to execute the Adoption Agreement, and any
related documents or amendments which may be necessary or
appropriate to adopt the Plan or maintain its compliance with
applicable federal, state and local law.
