RESOLUTION NO. ~~
A RESOLUTION AUTHORIZING THE MAYOR AND THE CITY CLERK TO
EXECUTE A DEED REGARDING REFLEXION INDUSTRIES.
WHEREAS, Arkansas Statutes require a written Resolution of
the City Council authorizing the Mayor and City Clerk to execute
deeds for the conveyance of real property; and
WHEREAS, Reflexion Industries, Inc., proposes a Refunding
Trust Agreement between the City of West Memphis, Arkansas, and
the Trustee, Worthen Bank and Trust Company, N.A., of Little
Rock, Arkansas, to make adequate provision for the principal and
interest on the City of West Memphis, Arkansas, Insured
Industrial Development Revenue Bonds (InDeBonds-Tm) - Reflexion
Industries, Inc., Project, dated as of December 1, 1984, (the
Bonds) as the same become due and payable; and
WHEREAS, Reflexion Industries, Inc., desires to acquire the
real property which was the subject of said bond issue; and
WHEREAS, said real property is presently held in the name of
the City of West Memphis, Arkansas;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF WEST MEMPHIS, ARKANSAS, THAT upon execution of the
Refunding Trust Agreement and adequate provisions for the
principal and interest on the Bonds as the same become due and
payable, the Mayor and City Clerk are hereby authorized to
execute a deed for the conveyance of the real property which was
the subject of said bond issue to Reflexion Industries, Inc.
ADOPTED this 16th day of June, 1988.
