West Memphis City Council
Apri17, 2005
A special called meeting of the West Memphis City Council was held on Apri17, 2005 at 9:19
a.m. in the City Council Chambers at City Hall, 205 S Redding, West Memphis, Arkansas.
Mayor William H. Johnson presided over the meeting.
M s
ayor John on called the meeting to order at 9:19a.m. This meeting was held m conJunct~on with
the City of West Memphis Utility Commission meeting. Felecia Ellis, Junior Deputy Clerk
called the roll. Those present were Mayor Johnson, City Attorney David Peeples, Treasurer
Frank Martin. Councilors: Vickie Robertson, Ramona Taylor, Herman Coleman, Marco
McClendon, Helen Harris, James Holt, Joyce Gray, Lorraine Robinson and Clarence Davis.
Absent Councilor Harold Thomas. Mayor Johnson declared a quorum present and proceeded
with the agenda.
Mayor Johnson took time to recognize Attorney Zachery David Wilson. Mayor Johnson thanked
Attorney Wilson for his more than twenty-five years of service to the City in electrical matters.
The meeting was then turned over to Utility Commissioner John Rimmer for further
introductions. Those introduced were Paul Arsuaga of RW Beck Consulting Engineers out of
Orlando, Florida, Henry Thompson a retired Entergy employee serving as a consultant and Todd
Pederson, a West Memphis Utility Engineer.
Rimmer went on to explain how and why the City began a search for a new energy source. He
explained that Entergy Arkansas sent out a letter in January stating the company would not be
renewing its' contract with the City of West Memphis. The contract ends December 31, 2005.
This decision affects all cities that have contracts with Entergy, not just West Memphis. Rimmer
explained that the process started with seven cities. Due to conflicting renewal date three of the
cities to dropped out. It was determined that three cities could negotiate a better price by going in
together to purchase utilities. The three cities remaining were West Memphis, Conway and
Prescott. Rimmer explained that it was not just a matter of the best price, but also who could get
power to the city. The committee received 23 bids, and that number was narrowed down to five
bidders. Theses bidders met all requirements set forth by the cities.
The meeting was then turned over to Paul Arsuaga for RW Beck Consulting Engineers. Arsuaga
explained how the process was narrowed down to Constellation Enegry Group. The bidders were
narrowed down from five to two bidders based on price and service. The two bidders were Major
Energy Cooperation and Constellation Energy Group. The criteria used to choose a company
included financial stability, retail marketing and ancillary services. The cities negotiated parallel
contracts with the two finalist, and settled on the best deal. The contract with Constellation is for
five years. Arsugara explained some of the aspects of the contract. The seller will provide our
energy needs and establish a control center. He explained that the control center makes sure that
your load and resources match all the time. The seller is responsible for the day to day operations
in the transfer of energy. The City of West Memphis will receive a Letter of Credit from the
seller. That Letter of Credit will be forfeited to the City if the seller doesn't to provide satisfactory
transfer of power. The seller is also responsible for the cost of transmission upgrade. The contact
contains a fixed rate for the life of the five-year contract. Arsuaga explained that with other
contracts the cost would float according to gas prices.
Other aspects of the contract include notification during peak demand time. This would allow the
city to decrease its' load during the time of the peak. The contract allows us to be billed on the
average sum of the peak demand for the year rather than on the highest peak. Arsuagua stated that
this contract, will carry a 30% wholesale increase for the life of the five year contract.
After the presentation Mayor Johnson opened the floor for questions. After a brief question and
answer period Councilor Taylor moved, seconded by Councilor Holt to approve the Resolution.
Upon voice vote the motion was unanimously approved. Jr. Deputy Clerk Felecia Ellis assigned
the Resolution number 1808.
Having no further business Mayor Johnson requested a motion to adjourn. Councilor Robinson
moved, seconded by Councilor Taylor to adjourn. Upon voice vote ,the voting was unanimous.
The meeting adjourned at 10:20 a.m.
PASSED and APPROVED this ~l day of Apri12005.
