West Memphis, Arkansas 72301 Re: $1,700,000 City of West Memphis, Arkansas Industrial Development Revenue Bonds - Three Rivers Plywood, Inc. Project, Series 1984 Dear Mr. Smith: This will confirm our telephone conversati"on today regard- ing the proposed Landlord's Waiver and Agreement which has been forwarded to you by Hansell & Post, Atlanta, Georgia. The "Collateral" referred in the Landlord's Waiver and Agreement does not appear to cover any of the property constituting the leased premises under the Lease and Agree- ment dated as of August 1, 1984, between the City of West Memphis and Three Rivers Plywood, Inc.. (the reference to the Lease and Agreement in the first paragraph of the recitals should be as of August 1 instead of May 1), In addition, the First National Bank of Hot Springs, as Trustee for the bondholders, has agreed to the terms and conditions of the Landlord's Waiver and Agreement. Conse- quently, 2 do~not believe the execution of the Landlo rd's Waiver and Agreement would be harmful to the City's interests as set forth in the Lease and Agreement. Please call me if you have and questions. Sincerely yours, p ~T Thomas P. Leggett TPL:cm cc: Hazen H. Dempster Larry Brian
